Seller Agreement

This agreement by and between AROZ SHOP and Registered Seller (Vendor) shall commence & will be considered agreed upon Registration of Seller (Vendor)

TERMS OF AGREEMENT

The Seller will supply the goods or services to the Customer, pursuant to the terms of this vendor agreement

Representation and Warranties

The Vendor hereby represents that they have the expertise, knowledge and experience needed to provide the goods or services they are selling on this platform (www.aroz.biz , AROZ SHOP or its Affiliate).

The vendor agrees to uphold all laws and legal requirements of the state of Rajasthan, India.

Liability and Indemnification

The Vendor shall indemnify, defend, and hold the Client (AROZ SHOP or its Affiliates) and its representatives harmless for any loss or damage.

Furthermore, the Client (AROZ SHOP or its Affiliates) agrees to hold the Vendor harmless against any loss or damage, save in cases of gross misconduct or negligence by the AROZ SHOP or its Affiliates or its representatives.

AROZ SHOP / aroz.biz or its affiliate shall not be liable in situation when a customer files legal case whereas the Seller or Vendor will be liable for such damage or loss or Court Proceedings. (AROZ SHOP or Its Affiliate will not be liable or can not be sued by any customer in any mean whereas the Seller shall be liable for such damage or loss and shall be sued).

Other Terms

The Vendor agrees to purchase the necessary insurance during the term of this agreement and upon request shall provide proof of such insurance to AROZ SHOP or Its Affiliates

Independent Contractor

The Vendor shall be considered an independent contractor. This vendor agreement/Seller Agreement  does not establish an employer/employee relationship between the Client (AROZ SHOP or Its Affiliates) and Vendor, and no such agreement shall be established at any time.

Jurisdiction

This vendor agreement shall be under the jurisdiction of the laws of State of Rajasthan , India. Therefore, any and all legal proceedings shall be conducted in the above state.

Dispute

In case of any dispute raised by Customer or governing authorities, first AROZ INTERNAL DISPUTE TEAM will look into the matter and draw a conclusion within 180 days hence in this time period dispute can’t be raised in Court of Law. Whereas if either party not agreeing to the decision of AROZ INTERNAL DISPUTE TEAM, may move to Court of Law whereas as discussed above AROZ SHOP will not be liable for any damage or loss or can not be dragged or put in court of law whereas Seller/Vendor shall be liable for same.

Termination

Either party may terminate this vendor agreement by providing written notice to the opposite party within 10 days of the termination requested date.

Upon this vendor agreement’s termination, all unpaid debts up to the point of termination will be due to the Vendor within 30 days (can be extended up to 180 days in special case or consideration which solely depends on AROZ SHOP or Its Affiliates)
